Lumoside Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Lumoside (ABN 27 388 151 298) ("Lumoside", "we", "us", or "our") governing your access to and use of the platform at lumoside.app (the "Service").

By registering, starting a free trial, or using the Service in any way, you confirm that you have read and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. About Lumoside

Lumoside is a subscription-based SaaS platform designed for independent performance consultants and consulting firms. It provides tools for client registry management, employee tracking, notebook and notes, smart briefings, invoice generation, revenue tracking, call scheduling, email templates, and related features.

2. Eligibility

To use Lumoside you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into a binding contract.
  • Use the Service for lawful business purposes only.

Both individuals and business entities may register. If you register on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Accounts

3.1 Registration

You must create an account to use the Service. You agree to provide accurate and complete information and keep it up to date. You are responsible for all activity that occurs under your account.

3.2 Account Security

Lumoside accounts are for individual use only. You must not share your login credentials. Additional users at a client organisation may be added as employees within your seat allocation. If you suspect unauthorised access, contact us at support@lumoside.app immediately.

3.3 Multiple Accounts

You may create multiple accounts using different email addresses. Each account is subject to these Terms independently.

4. Free Trial

Lumoside offers a 7-day free trial for new accounts. A valid payment method is required to start the trial. You will not be charged during the trial period. If you do not cancel before the trial ends, you will be automatically charged the applicable subscription fee on day 7.

5. Subscription, Pricing & Billing

5.1 Plans

Lumoside is offered on a subscription basis. Current pricing is displayed at lumoside.app. Pricing is in Australian Dollars (AUD). Lumoside reserves the right to change pricing with 30 days advance notice to existing subscribers.

5.2 Billing

Payments are processed by Stripe. By providing a payment method, you authorise Lumoside to charge you on a recurring basis. All charges are non-refundable except as set out in Section 5.3.

5.3 Refunds

Due to the availability of a free trial, all subscription payments are non-refundable. If you believe you have been charged in error, contact support@lumoside.app within 7 days of the charge.

5.4 Failed Payments

If a payment fails, you have a 3-day grace period to update your payment details. If not resolved within 3 days, your account will be suspended. If not resolved within 30 days of suspension, your account may be permanently terminated and data deleted per Section 9.

6. Cancellation & Termination

6.1 Cancellation by You

You may cancel your subscription at any time through Settings > Finance > Manage Billing. Cancellation is effective at the end of your current billing cycle. No partial refunds are issued.

6.2 Termination by Lumoside

Lumoside may suspend or terminate your account for breach of these Terms, fraudulent behaviour, illegal activity, or threats to platform security. For minor breaches, notice will be given. For serious breaches, termination may be immediate.

6.3 Effect of Termination

Your data is retained for 30 days after closure to allow reactivation. After 30 days, data is queued for deletion. Permanent deletion is completed within 60 days of account closure.

7. User Conduct

You agree not to:

  • Violate any applicable law or regulation.
  • Scrape, harvest, or extract data from the platform by automated means.
  • Resell, sublicense, or commercialise access to the Service.
  • Reverse engineer or attempt to extract the source code of Lumoside.
  • Use AI features to generate illegal, harmful, defamatory, or misleading content.
  • Introduce malicious code or disruptive software.

You are solely responsible for the accuracy and legality of all data you enter into the Service, including all notes and AI-generated briefings before sending them to third parties.

8. AI-Powered Features

Lumoside includes AI-powered features powered by Anthropic Claude APIs. You acknowledge that AI-generated content may be inaccurate or incomplete; you are solely responsible for reviewing AI-generated content before use or distribution; and Lumoside does not warrant the accuracy or reliability of any AI-generated output.

9. Data & Privacy

Your use of the Service is governed by our Privacy Policy at lumoside.app/privacy, incorporated into these Terms by reference.

You retain ownership of all data you input. You grant Lumoside a limited licence to process and host your data solely to provide the Service. You may export your data in CSV or JSON format at any time.

10. Third-Party Services

Lumoside integrates with Stripe, Supabase, Vercel, Resend, Anthropic, and Notion API. Your use of these integrations is subject to those providers' terms. Lumoside is not responsible for the acts or omissions of third-party providers.

11. Intellectual Property

The Lumoside platform, including its design, code, features, and branding, is the exclusive property of Lumoside. You retain full ownership of all data and content you input.

12. Limitation of Liability

To the maximum extent permitted by law, Lumoside's total liability shall not exceed the total fees you paid in the 12 months preceding the claim. Lumoside is not liable for indirect, incidental, consequential, or punitive damages. Nothing in these Terms limits liability that cannot be excluded under applicable Australian law.

13. Indemnification

You agree to indemnify and hold Lumoside harmless from any claims, damages, and expenses arising from your use of the Service in violation of these Terms.

14. Dispute Resolution

The parties agree to first attempt good-faith negotiation. If unresolved within 30 days, disputes will proceed to mediation in Sydney, New South Wales. These Terms are governed by the laws of New South Wales, Australia.

15. Changes to These Terms

We will notify you of changes via email (14 days notice; 30 days for pricing changes) and an in-app notification. Continued use after the effective date constitutes acceptance.

16. General

These Terms and the Privacy Policy constitute the entire agreement. If any provision is found unenforceable, the remaining provisions continue in full force. You may not assign your rights without prior written consent.
